01 / PURPOSE & AUTHORISED ACCESS

Tester will use Findability only for genuine beta evaluation and within the access supplied by the Company. Tester must not access the Admin portal, share credentials, bypass security controls, scrape or probe the system, or use real payment, banking or sensitive client information. Sandbox/test data must be used where instructed. Access may be suspended or withdrawn at any time.

02 / CONFIDENTIAL INFORMATION

“Confidential Information” means all non-public information seen, received or inferred through the beta, including software features, interfaces, code or architecture, templates, designs, workflows, business methods, pricing, product plans, technical information, credentials, testing results, defects, screenshots and unpublished concepts. It excludes information that is already public, lawfully known to Tester before disclosure, independently developed without use of Company information, or lawfully obtained from a third party.

03 / NON-DISCLOSURE

Tester must keep Confidential Information strictly confidential, use it only to perform the beta test, and not publish, forward, demonstrate, screenshot for public use, disclose or make it available to any other person without prior written consent. Tester must use reasonable care to protect it. If disclosure is legally compelled, Tester must notify the Company beforehand where legally permitted.

04 / OWNERSHIP, COPYING & FEEDBACK

All Company materials and all intellectual-property rights in Findability’s software, brand, content, templates, documentation, designs and protected know-how remain the Company’s property. No licence is granted except the temporary right to test. Tester may not copy, reproduce, reverse engineer, adapt, commercialise or create derivative materials from Company materials. Findability may use all feedback, suggestions and bug reports supplied by Tester without restriction or payment, and Tester assigns any rights in that feedback to the Company to the extent permitted by law.

05 / LIMITED NON-USE / NON-EXPLOITATION

For 12 months after Tester’s beta access ends, Tester must not use Confidential Information or Company materials to build, assist, advise, finance, market or launch a product or service that is substantially derived from or copies the non-public Findability systems, workflows, commercial methods or beta-tested features. This clause does not prevent ordinary competition, use of general skills or knowledge, or genuinely independent development that does not use Company Confidential Information or intellectual property.

06 / BETA CONDITIONS, PRIVACY & RELATIONSHIP

The beta is pre-release and may contain defects, delays or changes. It is provided for testing only and not for production or reliance. Tester consents to Findability processing the Tester’s name, email, tester code, device/browser information, usage logs, feedback and support interactions for beta administration, troubleshooting, security and product improvement, subject to applicable South African privacy law. Participation does not create employment, partnership, agency or entitlement to compensation unless separately agreed in writing.

07 / DURATION, DELETION & REMEDIES

Confidentiality obligations continue for 3 years after the beta ends; trade secrets, access credentials and information that remains legally confidential must be protected for so long as they remain confidential. On request or termination, Tester must stop using the beta and delete or return Company materials and credentials. A breach may cause harm not adequately remedied by money alone, and the Company may seek urgent interdictory relief, damages and any other lawful remedy. Each undertaking is severable and applies only to the maximum extent permitted by law.

08 / SOUTH AFRICAN LAW & ENTIRE AGREEMENT

This Agreement is governed by the laws of the Republic of South Africa and disputes are subject to the jurisdiction of a competent South African court. This document records the entire beta confidentiality and non-use agreement between the parties and may be changed only in writing. Electronic signatures and counterparts are accepted.
